LICENSE AGREEMENT

Usage terms for our catalog.

EFFECTIVE DATE: Upon download of any audio file. LICENSOR: Dozensound (Composer/Publisher). LICENSEE: The individual or entity downloading the audio file.

By downloading, copying, or using any audio file ("The Music") from Dozensound.com, you ("The Licensee") agree to be bound by the terms of this Agreement.

1. GRANT OF LICENSE

Subject to the terms and conditions herein, the Licensor grants the Licensee a non-exclusive, non-transferable, worldwide, perpetual right to synchronize The Music in audiovisual productions ("Projects"), including but not limited to:

  • Television broadcasts (Network, Cable, Satellite).

  • Feature films and documentaries.

  • Advertising and commercial spots.

  • Professional web series and VOD content (Netflix, Hulu, Prime, etc.).

2. CONSIDERATION (NO SYNC FEE)

This License is granted on a Gratis basis (Royalty-Free for Synchronization).

  • Zero Upfront Fee: The Licensee is not required to pay a synchronization fee to Dozensound at the time of download.

  • Condition of License: The validity of this license is strictly conditional upon the Licensee’s compliance with the reporting obligations outlined in Section 3.

3. MANDATORY REPORTING OBLIGATIONS

The Licensee acknowledges that the Licensor relies on Performance Royalties as the sole form of compensation. Therefore, the Licensee shall:

  1. File a Cue Sheet: Submit a valid Music Usage Report (Cue Sheet) to the relevant Performance Rights Organization (PRO) (e.g., ASCAP, BMI, GEMA, PRS, SACEM) for every Project in which The Music appears.

  2. Credit Dozensound: Accurately list the following details in the Cue Sheet for every track used:

    • Publisher: Dozensound

    • Composer: Dozensound

    • PRO Affiliation: ZAiKS

    • IPI Number: 01284895499

Failure to file a Cue Sheet constitutes a material breach of this Agreement and voids the License.

4. RESTRICTIONS AND PROHIBITED USES

The Licensee is strictly prohibited from using The Music in the following manners:

  • Amateur / Personal Content: This License DOES NOT cover usage in personal, non-professional, or amateur content (e.g., personal vlogs, wedding videos, student projects) where no Cue Sheet is filed.

  • Content ID Registration: The Licensee shall NOT register, submit, or claim The Music via YouTube Content ID, Facebook Rights Manager, or any similar audio fingerprinting system. The Licensor retains full ownership of the master recording.

  • Standalone Distribution: The Music may not be resold, sub-licensed, or redistributed as a standalone audio file, sound effect, ringtone, or stock music asset.

5. OWNERSHIP AND RIGHTS

  • Master & Composition: Dozensound retains 100% ownership of both the Master Recording and the Underlying Composition.

  • Performance Rights: Public Performance Rights are not included in this "gratis" license and remain the exclusive property of the Licensor, to be collected via PROs (ZAiKS).

6. WARRANTIES AND INDEMNIFICATION

The Licensor warrants that The Music is original and does not infringe upon the rights of any third party. The Licensee agrees to indemnify and hold the Licensor harmless from any claims arising out of the Licensee’s breach of this Agreement, specifically regarding the failure to report usage.

7. TERMINATION

The Licensor reserves the right to terminate this Agreement immediately if the Licensee fails to comply with any term, specifically the Reporting Obligations in Section 3. Upon termination, the Licensee must cease all use of The Music.
